Past-Due Credits and the Acquisition of Credit Portfolios

Pinheiro Guimarães was the pioneer office in the area of acquisitions of past-due credit portfolios in Brazil.  It has been involved since the beginning in the great majority of those transactions.

As a result of the experience of Pinheiro Guimarães in financings, restructurings and judicial and extrajudicial reorganizations, the office has consolidated its position as a leader in credit assignments.  Pinheiro Guimarães represents assignees, assignors and managers of investment funds in various modalities of credit assignments, regardless of whether those assignments are assignments of credits that are current or credits that are past-due, and regardless of whether they are collected in court or out of court.  Assigned credits may include consumer credits, payroll-secured credits, corporate credit, credits resulting from litigation, credits arising from judgments for collection of debts against the government and credits resulting from judicial and extrajudicial reorganizations.

Pinheiro Guimarães has advised investors in a number of auctions carried out by financial institutions in order to sell large portfolios of consumer credit and corporate credit.  In some of those acquisitions, Pinheiro Guimarães acted in the collection, receipt and restructuring of the acquired credits. In many cases, the firm participated in ensuing bankruptcies and reorganizations.

The experience of Pinheiro Guimarães with credit rights investments funds  (FDICs) also contributed to the consolidation of the firm as a leader in acquisitions of past-due credits, given the fact that the office has been constantly involved in the structuring of FIDCs and in the acquisition by those FIDCs of portfolios of past-due credits from financial institutions and retail commercial establishments.
