The team also structures and coordinates the implementation of a broad set of compensation and incentive plans tailored to distinct target audiences (C-level, key executives, and employees and service providers in general), such as short- and long-term bonuses, KPI- and performance-based pay, phantom shares, stock options, RSUs, performance shares and other equity-linked instruments, with a comprehensive assessment of employment, corporate, and tax impacts. In addition, Pinheiro Guimarães provides in-house training for management and HR on best practices and on mitigation of labor and social-security risks, consistent with the firm’s high level legal advisory services.

In terms of dispute resolution, the practice handles highly complex and sensitive employment litigation, often brought by executives and senior employees, as well as class, public-civil actions, and individual actions with potential for a material business impact in the client’s operations. The practice spans the full spectrum of employment disputes (including arbitration, whenever applicable).

In corporate and capital markets transactions, an in-depth analysis is carried out of labor issues arising in cases of M&A, corporate reorganizations, IPOs and follow-ons, as well as security offerings in both debt and equity. The practice maintains an active role from due diligence and the assumption or transfer of labor contracts, to the management of labor succession, and to the negotiation of contractual provisions designed to mitigate any identified risks. The practice benefits from the firm’s established presence in Brazil’s principal corporate and financial transactions, ensuring an integrated and efficient approach to employment risks in complex transactions.

The practice also carries out sensitive and confidential corporate investigations involving relevant workplace conduct. In carrying out these investigations, the team works closely with shareholders, boards, management, and audit and compliance committees, advising on the factual findings and the perceived risks. In each case, any such investigation is always carried out in close coordination with the firm’s compliance and corporate practice groups. In addition, assistance is provided to financial institutions, asset managers, and listed companies in adapting their HR and compensation policies and practices to comply with regulatory and governance requirements, reflecting the growing overlap among compliance, employment relations, and internal controls evident in the market.
