Pinheiro Guimarães brings together a specialized Real Estate Law team that handles sophisticated and complex transactions, in permanent coordination with the firm’s other practice areas. This integration enables the team to structure and conduct real estate transactions with technical consistency, efficiency, risk management, and alignment with the economic rationale of the investment and client’s objectives.

Advisory services are provided to institutional investors, financial institutions, corporations, real estate investment funds (FIIs), developers, asset managers, and family offices throughout the entire cycle of their real estate investments: from structuring, due diligence, and acquisition through to the development of relevant activities and disposition and divestment of their assets.

The team’s experience encompasses real estate transactions involving: the acquisition, typical and atypical leases — such as built-to-suit and sale-leaseback — and other forms of exploitation of urban and rural assets across multiple segments and asset classes, including hospitality and tourism, retail, logistics, healthcare, multifamily, and commercial, residential, and mixed-use properties; the development and implementation of real estate projects, including condominiums and land subdivisions (loteamento); development and implementation of projects related to energy generation, agribusiness, and infrastructure, such as investments in wind, solar, and battery plants, forestry assets, and mining activities, all generally implemented in rural areas throughout the country; and registry law, urban planning, and land regularization matters in general.

The firm also has a dedicated capital markets team with extensive experience in real estate financing and structuring of investment vehicle. In this area, particular emphasis is given to receivables securitization transactions, including Brazilian real estate receivables certificates (CRIs) and similar structures, and to fundraising and financing structures for real estate projects and portfolios, as well as the structuring and establishment of funds focused on real estate assets or rights derived therefrom, such as Brazilian real estate investment funds (FIIs), agribusiness investment funds (Fiagros), receivables investment funds (FIDCs), and private equity funds (FIPs).
